To enhance corporate governance and strengthen the effectiveness of the Board of Directors, Donpon established the “Regulations for the Performance Evaluation of the Board of Directors and Functional Committees,” which was approved by the Board on August 9, 2019. The regulations were subsequently amended on August 7, 2020, and February 21, 2024, in accordance with legal and regulatory requirements.
The performance evaluation of the Board of Directors shall be conducted by an external professional independent institution or external experts at least once every three years.
Both internal and external evaluation results must be completed by the end of the first quarter of the following fiscal year.
In 2024, Donpon engaged an external professional organization, the Taiwan Board Performance Association, to conduct an independent performance evaluation of the Board of Directors.
The Association and its evaluators possess qualifications at the level of lecturer or higher in fields such as finance, accounting, or law from public or private universities, and are scholars and experts with long-term engagement in corporate governance research. They have no business dealings with Donpon and no circumstances that would affect their independence.
The evaluation was conducted based on information provided by the Company regarding its corporate governance practices and internal policies. It also included written questionnaires and one-on-one interviews with board members and executives.
The evaluation covered the period from January 1, 2022 to December 20, 2024, and the final results were presented to the Board of Directors on February 25, 2025.
